End-user licence agreement

This agreement is between you and Black Ueli GmbH, An der hohlen Gasse 23, 4058 Basel, Switzerland (UID CHE-365.774.580) (“we”), and applies to Steerwell: the app, its steerwell command, the skills and agent instructions it writes into a Workspace, its R helper, and their updates and documentation (together, “Steerwell”). By installing or using Steerwell you accept it. If you use Steerwell for an organisation, you accept it for that organisation too.
1. Ownership
Steerwell is proprietary software. © Black Ueli GmbH, all rights reserved. We grant you a licence to use it, not ownership of it or of any copy.
2. Your licence
While your free trial runs, or you hold a seat on a paid subscription, you may install and use Steerwell on up to two Macs at a time, for your own work and your organisation's. The licence is personal to the e-mail address it is for: it is not exclusive, and you can't transfer it, except that the buyer of a subscription may give its seats to other people.
The skills and instructions Steerwell writes into your Workspaces may stay there and be read by your agent and your colleagues who use Steerwell, as part of using it.
3. What you may not do
- Copy, sell, rent, lend, share or distribute Steerwell, or make it available to others as a service, except as allowed above.
- Get around, disable or tamper with the licence check, or use a licence token on a Mac it wasn't issued for.
- Decompile, disassemble or reverse-engineer Steerwell, except as far as the law allows you to despite this clause.
- Modify Steerwell or build another product from it, or remove its copyright and licence notices.
4. Other people's software
Steerwell includes components by others, under their own licences, listed in the app under Help → Acknowledgements. Those licences, not this agreement, govern those components. FFmpeg and LAME are under the LGPL: you may replace them with your own build, and their source code is on the Licences and source code page.
Your agent, R and the transcription models are not part of Steerwell; their own licences and terms apply.
5. Your content
Everything in your Workspaces, and everything Steerwell or your agent produces from it, is yours. We claim no rights in it and don't receive it.
6. When the licence ends
The licence ends when your trial or your seat ends, or if you break this agreement. Steerwell then locks and no longer opens or changes Workspaces; your files stay as they are. If you don't intend to use Steerwell again, delete it.
7. Warranty and liability
Steerwell is provided as it is. To the extent the law allows, we give no warranty that it is free of faults or fit for a particular purpose, and our liability is limited as in section 9 of the terms of sale. Liability for damage caused intentionally or by gross negligence is not limited.
8. Law and courts
This agreement is governed by Swiss law. The courts at our registered office are competent, unless mandatory law gives you, as a consumer, the courts where you live.
